Chapter One: General Provisions

English Name: Weihai Association for Pharmaceutical and Medical Device Industry
Abbreviation: WHAPMDI
The nature of the Weihai Pharmaceutical and Medical Device Industry Association (hereinafter referred to as the Association) is that it is a self-regulatory, non-profit social organization voluntarily formed in accordance with relevant national laws and regulations. Its primary members consist of enterprises engaged in the research and development, production, sales, and operation of biopharmaceuticals, health products, active pharmaceutical ingredients, medical devices, and the broader health industry, as well as specialized schools and colleges registered in Weihai City.
The third article: The purpose of this association is to uphold the leadership of the Party, guided by Xi Jinping's Thought on Socialism with Chinese Characteristics for a New Era. We aim to serve enterprises, industries, governments, and society, safeguard the legitimate rights and interests of member units, strengthen industry self-discipline, promote the construction of an integrity system within the industry, collaborate with government departments to effectively lead industry development and implement industry management, encourage enterprises to earnestly fulfill their social responsibilities, and foster the healthy and sustainable development of the pharmaceutical and medical device sectors.
This organization will adhere to the constitution, laws, regulations, and national policies, while also upholding social ethics and standards.
This organization establishes and improves a modern corporate governance structure in accordance with the requirements of contemporary social organizational systems. We promote integrity, develop a sound self-discipline mechanism, and achieve standardized and healthy development of our organization.
The fourth article states that this association accepts the business guidance and supervision from the Weihai Municipal Economic and Information Commission, the Weihai Municipal Food and Drug Administration, and the Weihai Civil Affairs Bureau.
The fifth article: The headquarters of this association is located in Weihai City, Shandong Province.
Chapter Two: Scope of Business
The sixth item outlines the scope of our organization's business activities:
(一)To promote and implement national laws, regulations, and relevant guidelines and policies, conveying the government's requirements for the industry and enterprises, while actively reflecting the legitimate demands of the industry and member units to the relevant government departments.
(二)Safeguard the fundamental interests of the country, represent and safeguard the common interests of the entire industry and the legitimate rights and interests of member companies, coordinate the relations among members, reflect the common wishes, voices and demands of members, and put forward requirements and suggestions to the government in terms of industry policies and legislation;
(三)Conduct industry statistics, collect, analyze and publish industry information, conduct surveys and studies on industry development, and make suggestions on industry development plans to government departments;
(四)Organize various forms of vocational and technical training to help enterprises cultivate technical and management talents, strengthen the construction of talent teams, and promote the improvement of the overall quality of enterprises;
(五)Promote the exchange of experience among member companies in various aspects such as economy, technology and management, hold various seminar activities, promote and help companies strengthen cooperation, and promote the improvement of industry technology and management levels;
(六)According to the development of the industry and the needs of member companies, actively organize member companies to participate in industry fairs, expos, and order fairs, organize and recommend famous brands and high-quality products produced by member companies, and improve the market share and competitiveness of member companies in products in the same industry. Actively organize member companies to participate in domestic and foreign exhibitions, sales, cooperation negotiations and other activities;
(七)Carry out communication on horizontal contact and cooperation among member companies, and effectively coordinate in terms of technology introduction, technical cooperation, and complementarity of raw materials and products;
(八)Formulate and supervise the implementation of industry rules and regulations, standardize industry behavior, promote industry self-discipline, carry out industry integrity system construction, coordinate industry development, and maintain fair competition;
(九)Organize and participate in the formulation and revision of technical, quality and other management standards for the industry, and urge member companies to implement them; carry out inspection and evaluation work; assist government departments in the preliminary review of relevant industry licenses;
(十)Carry out industry-related research work, put forward opinions and suggestions on industry development and major pharmaceutical economic policies and legislation, assist the government in formulating industry management technical service specifications, quality and other standards, and promote industry development;

Chapter Three member
The seven item Membership type of this association: unit members.
The eight item To apply for membership in this association, you must meet the following conditions:
(一)Support the constitution of the association;
(二)Have the intention to join this association;
(三)Have a certain operating scale or characteristics and influence in terms of business, management, services, technology, etc. in the industry;
(四)Medicines, medical devices and related enterprises and institutions that are registered in accordance with the law, have complete licenses, and have standardized management can apply to become members of this association.
The nine item Membership procedures:
(一)Submit an application for membership;
(二)After discussion and adoption by the Council;
(三)Membership cards are issued by the council.
The ten item Members enjoy the following rights:
(一)The association's rights to vote, be elected, recall and vote;
(二)Attend the general meeting;
(三)Participate in activities such as study, inspection, research and experience exchange organized by the association;
(四)Get priority in the services of the association;
(五)The right to criticize, advise and supervise the work of the association;
(六)Membership is voluntary and withdrawal is free.
Each member unit has one vote, and the member unit exercises the above rights through its member representative. The member representative is generally the legal representative or person in charge of the member unit.
The eleventh item Members fulfill the following obligations:
(一)Abide by the Articles of Association;
(二)Implement the resolutions of the Association;
(三)Maintain the legitimate rights and interests of the association and consciously fulfill the statutes of the association;
(四)Complete all tasks assigned by the association;
(五)Pay dues as required;
(六)Report the situation to the association and provide relevant information;
(七)Maintain and enhance unity and collaboration within the industry;
(八)Designate a special person to contact the Secretary-General of the Association to facilitate daily work.
The December item Members should notify the association in writing of withdrawing from the club and return their membership certificates.
The thirteenth item Any member who commits the following serious violations of the Articles of Association shall be expelled upon voting by the board of directors:
(一)Failure to pay membership dues or participate in association activities for one year;
(二)Failure to perform the membership obligations stipulated in these Articles of Association;
(三)Any act that damages the reputation of the association or violates the purpose of the association.
Chapter Four Organization structure and person in charge shall be elected and dismissed
The Fourteenth item The highest authority of the Association is the General Assembly, and the powers of the General Assembly are:
(一)Formulate and amend the charter;
(二)Election and removal of directors and supervisors;
(三)Election and recall of the president, vice president and secretary-general;
(四)Review the work report and financial report of the Council;
(五)Decide on the termination of the association.
The general meeting is presided over by the president. A general meeting can be convened only if more than two-thirds of the members are present, and its resolutions can only take effect if they are approved by more than half of the members present. The Council may convene an interim general meeting if it deems it necessary or if more than one-third of the members propose it.
The Fourteenth item The membership meeting is for three years. If it is necessary to advance or postpone the term due to special circumstances, it must be approved by the board of directors and approved by the association registration and management authority. However, the maximum extension of the term shall not exceed one year.
The seventeenth item Directors are elected by the general meeting from among members. The number of directors is generally 1/3 of the total number of members and should be odd.
If a director loses his membership, he will automatically lose his membership and shall be confirmed by the board of directors.
The eighteen item The Council is the executive body of the General Assembly and is responsible to the General Assembly. When the general meeting is not in session, the board of directors leads the association to carry out its work.
The seventeenth item The powers of the Council are:
(一)Implement the resolutions of the General Assembly;
(二)Prepare and convene a general meeting and report on work and financial status to the meeting;
(三)Formulate work plans and prepare financial budget and final accounts reports;
(四)Decide on the admission or removal of members;
(五)Decide to establish a working organization;
(六)Decide on the appointment of personnel in the office;
(七)Lead the work of various institutions of the association;
(八)Formulate internal management systems;
(九)Decide on other major matters.
Article 20 The board of directors can be convened only if more than two-thirds of the directors are present, and its resolutions can only take effect after being voted by more than two-thirds of the directors present. Each director has one vote.
Article 21 The Council meets at least (once or twice) every year. Interim Council meetings can also be convened. In special circumstances, it can also be convened through communication. More than one-third of the directors may propose convening a council meeting.
Article 22 The association has a president, several vice presidents, a secretary-general, and a board of supervisors. The president and vice president of the association shall be the main leaders of influential and powerful key enterprises in the industry.
The board of supervisors is elected by the general meeting, or selected by the registration management authority according to work needs. The number of supervisors generally does not exceed 9. If the number of supervisors exceeds three, a board of supervisors shall be established, with members among the supervisors.
The term of office of the supervisor or board of supervisors is the same as that of the board of directors, and may be re-elected at the expiration of the term.
Article 23 The powers and powers of the Supervisory Board are:
(一)Report the annual work of the supervisory board to the general meeting;
(二)Supervise the election and recall of the general assembly and the board of directors, and supervise the board of directors to implement the resolutions of the general assembly;
(三)Inspect the financial and accounting data of the association and report the situation to the registration management authority, taxation and accounting authorities;
(四)Supervisors shall attend board meetings as non-voting delegates and have the right to raise questions and suggestions to the board of directors;
(五)Supervise the Council's compliance with laws and regulations.
Article 24 The president, vice president, and secretary-general of the association must meet the following conditions:
(一)Adhere to the leadership of the Communist Party of China, support socialism with China characteristics, resolutely implement the party's line, principles, and policies, and have good political quality;
(二)Have a great influence in the business field of the association;
(三)The maximum working age shall not exceed 70 years old, and the Secretary-General shall be a full-time person;
(四)Be healthy and able to work normally;
(五)Having not received criminal punishment for deprivation of political rights;
(六)Have full civil capacity.
(七)There are no other circumstances prohibited by laws and regulations.
Article 25 If the president, vice president, and secretary-general of the association exceed the maximum age for appointment, they must be approved by the board of directors and approved by the association registration and management authority before they can take office.
Article 26 The term of office of the president, vice president and secretary-general of the association is three years, and the term of office is no more than two terms. If the term of office needs to be extended due to special circumstances, it must be approved by more than two-thirds of the directors of the board of directors and approved by the association registration and management authority before taking office.
Article 27 The president of the association is the legal representative of the association, and the legal representative of the association may not concurrently serve as the legal representative of other social groups. Due to special circumstances, the vice president or secretary-general may serve as the legal representative upon authorization from the president, consent from the board of directors, and approval from the association registration authority.
Article 28 The President of the Association exercises the following powers:
(一)Convening and presiding over member meetings and councils;
(二)Inspect the implementation of resolutions of the general assembly and council;
(三)Sign relevant important documents on behalf of the Association.
Article 29 The Secretary-General of the Association exercises the following powers:
(一)Presided over the daily work of the office and implemented the resolutions of the general assembly and the council.
(二)Formulate the annual work plan and implementation plan of the association. Report to the Council and General Assembly for review, and organize and implement the annual work plan;
(三)Prepare for the convening of the council.
(四)Coordinate the work of various branches, representative offices, and entity agencies;
(五)Nominate the deputy secretary-general and the main leaders of each agency and submit them to the board of directors for decision;
(六)Organize and collect the daily problems of each director that the association needs to solve and deal with, and formulate reply opinions.
(七)Responsible for reviewing the general information released by the Association on a daily basis.
(八)Handle other daily matters.
(九)Organize the introduction of review member units.
When exercising his powers, the Secretary-General shall not change the resolutions of the General Assembly and the Council or exceed the scope of authorization.
If the Secretary-General is unable to perform his powers for some reason, the board of directors shall authorize a member of the association to act as the Secretary-General.
Article 30
The Association establishes a reporting system for major matters. The association's board of directors, changes in responsible persons, holding commodity fairs, external exchanges, etc. must report to the business guidance department and registration management authority before the event and go through relevant procedures.
Chapter five Permanent establishment staff
Article 31
The number of staff in the permanent institutions of the Association shall be determined by the Council. Staff are dispatched by member units or hired by associations.
The wages, insurance, and welfare benefits of the full-time staff of the association shall be implemented in accordance with the relevant regulations of the country and our province.
Chapter six Asset management and use principles
Article 32
Source of membership fee:
(一)Dues;
(二)Donated;
(三)government-funded;
(四)Interest;
(五)Other legal income。
Article 33
The Association formulates membership fee management methods in accordance with relevant national regulations to collect membership dues from members。
Article 34
Membership dues must be used for the development of the business scope and undertakings stipulated in these Articles of Association and must not be distributed among members。
Article 35
The Association has established a strict financial management system to ensure that accounting information is legal, true, accurate and complete。
Article 36
The association is equipped with professionally qualified accountants, and accountants are not allowed to concurrently serve as cashiers. Accounting personnel must conduct accounting calculations and exercise accounting supervision. When an accountant transfers or leaves his job, he must complete the handover procedures with the person who takes over。
Article 37
The Association shall prepare a financial budget and final accounts report in each fiscal year, submit it to the member meeting for review and approval, and report it to the Weihai City Civil Affairs Bureau for the record。
Article 38
The asset management of the association must implement the financial management system prescribed by the state and accept the supervision of the member assembly and the financial department. If the source of assets belongs to state appropriations or social donations or subsidies, they must accept the supervision of the audit institution and the relevant information shall be announced to the public in an appropriate manner。
Article 39
Before changing the term or changing the legal representative, the association must accept the financial audit organized by the association registration authority and the business competent unit。
Article 40
No unit or individual may seize, privately divide or misappropriate the assets of the Association。
Chapter seven Party building work
Article 41
The Group accepts the leadership of the CPC, supports the establishment of the Party organization in the Group, and supports the Party organization to recruit members and carry out activities in the Group.
Chapter eight Procedure for amending the charter
Article 42
Any amendment to the articles of association of this association shall be approved by the board of directors and submitted to the general meeting of members for review.
Article 43
The amended articles of association of this association shall be submitted to the business guidance unit for review within 15 days after being approved by the general meeting of members. Upon approval, they shall come into effect after being submitted to the registration and management authority of the association for approval.
Chapter nine Termination procedures and post-termination property disposal
Article 44
When the association completes its purpose, dissolves on its own, or needs to be deregistered due to separation, merger, or other reasons, the council shall propose a termination motion.
Article 45
The motion to terminate this association shall be passed by a vote of the general meeting of members and submitted to the business guidance unit for review and approval.
The motion to terminate this association must be passed by a vote of more than two-thirds of the members at the general meeting.
Article 46
Prior to the termination of this association, a liquidation organization shall be established under the guidance of relevant authorities to clear creditors' rights and debts, and handle aftermath matters. During the liquidation period, no activities other than liquidation shall be carried out. The liquidation expenses shall be paid in priority from the assets of the association.
Article 47
This association shall be terminated upon completion of the cancellation registration procedures by the organization registration management authority.
Article 48
The remaining assets after the termination of this association shall be used for the development of undertakings related to the purpose of this association in accordance with relevant national regulations under the supervision of the registration and management authority of the association.
Chapter ten supplementary articles
Article 49
This Articles of Association was passed by the second general meeting of members on January 20, 2018.
Article 50
The interpretation of this Articles of Association belongs to the Council of this Association.
Article 51
This constitution shall come into effect from the date of approval by the registration and management authority of the association.
